Preamble

These Terms of Use (hereinafter referred to as the "Terms and Conditions") constitute a legally binding agreement between Sahl Information Technology Company (the "Company") and any individual or legal entity accessing or using this website (the "User"). The website may also be referred to herein as the "Website" or the "Platform."

By accessing or using the Platform, the User expressly acknowledges and agrees, without limitation or reservation, to be bound by these Terms and Conditions and confirms that they have read, understood, and accepted them in full, regardless of whether the User has created an account or not. Such acceptance shall become effective from the User's first access to or use of the Platform.

If the User does not agree to these Terms and Conditions, the User must immediately discontinue accessing or using the Platform and shall not be entitled to use any of its services. Any continued access to or use of the Platform after the initial visit shall constitute the User's continued acceptance of these Terms and Conditions, together with the Company's Privacy Policy.

Definitions

Amendments to the Terms and Conditions

The User shall regularly review these Terms and Conditions and any amendments thereto. Each login to the Platform constitutes the User's express acceptance of the then-current Terms and Conditions, including any amendments.

The Company shall make these Terms and Conditions available in a clear and accessible location on the Platform to enable Users to review them at any time.

The User's continued use of the Platform following the publication of any amendments shall constitute acceptance of the revised Terms and Conditions.

The Company reserves the right to amend these Terms and Conditions at any time in accordance with the applicable laws and regulations of the Kingdom of Saudi Arabia. Users will be notified of any material amendments via email or through notifications published on the Platform.

Platform Content

The content available on the Platform is provided for the purpose of presenting real estate investment opportunities that enable Users to acquire fractional ownership interests in income-generating real estate assets.

The availability of the Platform, its content, prices, specifications, and investment opportunities may change from time to time in response to market conditions. The Company reserves the right to modify, update, suspend, or remove any part of the Platform or its content at any time without prior notice.

Registration and Account Use

The Company reserves the right to approve, reject, suspend, or terminate any User account if the User fails to satisfy the Company's Know Your Customer (KYC) requirements during the registration process.

Users must provide accurate, complete, and up-to-date information when creating an account. The use of false, misleading, or inaccurate information is strictly prohibited.

The User is solely responsible for maintaining the confidentiality of their login credentials, including their username, password, and any activities conducted through their registered account.

The User shall bear full responsibility for any damages or losses arising from the failure to safeguard the confidentiality of their password or account credentials.

The Company may request additional information or supporting documentation for identity verification and compliance with Know Your Customer (KYC) and Anti-Money Laundering and Counter-Terrorist Financing (AML/CFT) requirements.

The User acknowledges and agrees that use of the Platform is entirely at the User's own risk and that the User bears full responsibility for all activities conducted through the Platform, including any interaction with third-party content.

If the User becomes aware of any unauthorized access to their account or any suspected security breach, the User must immediately notify the Company via its designated email address.

The User must keep their account information current at all times, including their email address, contact details, and national identification information.

The User may not assign, transfer, sell, or otherwise permit any third party to access or benefit from their account. The User shall remain solely responsible for all activities conducted through their account.

The Company reserves the right to suspend or terminate any account that violates the Company's Privacy Policy, these Terms and Conditions, or any applicable laws and regulations of the Kingdom of Saudi Arabia, including regulations governing digital services or the laws applicable in the User's country of residence.

Privacy and Personal Data Protection

All personal data collected through the Platform shall be processed in accordance with the Company's Privacy Policy.

The relationship between the Company and the User regarding the collection, processing, storage, and protection of personal data shall be governed by the Company's Privacy Policy, which is available at:

Security and Disclaimer

The User is solely responsible for evaluating their financial circumstances and their ability to bear the risks associated with participating in or investing through the Platform before making any investment decision.

The Company does not warrant that the content available on the Platform is accurate, complete, reliable, or suitable for any particular purpose. Furthermore, the Company does not warrant that the Platform, its systems, or its services will be uninterrupted, error-free, secure, or free from technical defects, viruses, malware, or other harmful components.

The User acknowledges that the information and content available on the Platform may contain inaccuracies or errors and agrees not to introduce, upload, transmit, or otherwise distribute any viruses, malicious software, or other harmful code through the Platform.

The User further agrees not to use any robots, spiders, crawlers, scraping tools, automated extraction technologies, or any similar means, whether directly or indirectly, to access, copy, monitor, or extract any data from the Platform.

The Company does not guarantee any specific financial return, investment performance, or profit in connection with any Property Opportunity offered through the Platform. Past performance of any Property Opportunity shall not be construed as an indication or guarantee of future performance.

To the maximum extent permitted under applicable laws and regulations, the Company shall not be liable for any indirect, incidental, consequential, punitive, or special damages, including without limitation any loss of revenue, income, profits, or business opportunities arising out of or in connection with the use of the Platform, reliance upon its content, or participation in any Property Opportunity, unless such damages result directly from the Company's gross negligence or willful misconduct.

Eligibility

To register for an account and use the Platform, the User must:

• Be at least eighteen (18) years of age. 
• Have full legal capacity under the applicable laws and regulations of the Kingdom of Saudi Arabia. 

The User must also be legally eligible to own or lease real estate under the applicable laws and regulations of the Kingdom of Saudi Arabia and the eligibility requirements applicable to each individual Property Opportunity.

Intellectual Property Rights

The Platform contains materials that are owned by or licensed to the Company, including, without limitation, software, designs, graphics, illustrations, trademarks, text, logos, layouts, images, and other proprietary content.

No part of the Platform or its content may be used for commercial purposes without the Company's prior written consent. Users may not reproduce, distribute, modify, publicly display, publish, upload, transmit, store, or create derivative works based on any part of the Platform or its content.

Any unauthorized use of the Platform's content shall constitute a violation of applicable copyright, trademark, and intellectual property laws.

The Company shall identify any trademarks displayed on the Platform that are owned by third parties or used under license, and such trademarks shall remain the property of their respective owners.

Users shall not remove, alter, obscure, or tamper with any copyright notices, trademarks, logos, proprietary notices, or other indications of ownership appearing on any materials obtained from the Platform.

The name Sahl, the Platform, its logo, branding, products, services, visual identity, designs, and all related names and marks are the exclusive property of the Company, its affiliates, or its licensors and are protected by applicable intellectual property laws.

Users may not use the Platform's name, logo, trademarks, trade names, product names, service names, or any similar marks without the Company's prior written authorization.

Cookies and Third-Party Links

The Platform uses cookies to improve the User experience and monitor browsing preferences. By allowing cookies, the User consents to the storage and processing of non-personally identifiable information for the purposes described in the Company's Privacy Policy.

The Platform may contain links to third-party websites. Such links are provided solely for the User's convenience and do not constitute the Company's endorsement of those websites or their content.

The Company assumes no responsibility or liability for the availability, content, accuracy, or practices of any third-party websites. Access to such websites is entirely at the User's own risk.

For further information regarding cookies and the processing of information collected through the Platform, Users should refer to the Company's Privacy Policy.

Services and Property Opportunities

Services

The Company provides the following services through the Platform:

• Providing comprehensive information for each Property Opportunity, including the nature of the opportunity, its characteristics, expected returns, and potential risks. The Company does not guarantee any particular return or profit from any Property Opportunity offered through the Platform. 
• Managing Users' real estate investment portfolios in accordance with applicable laws and regulations by providing the necessary tools to monitor their investments and related transactions. 
• Managing real estate portfolios and exercising usufruct rights where applicable, in compliance with the laws and regulations of the Kingdom of Saudi Arabia. 
• Managing and distributing periodic returns generated from Property Opportunities to Users in proportion to their ownership interests. 
• Managing exit and liquidation processes relating to Property Opportunities in accordance with the applicable structure and governing documentation. 

Property Opportunity Document

The Company shall prepare a separate Property Opportunity Document for each Property Opportunity made available through the Platform.

Each Property Opportunity Document shall describe the specific investment opportunity and set out the rights, obligations, terms, conditions, risks, and other material information applicable to that particular opportunity.

Authorization to Manage Property Opportunities

By subscribing to any Property Opportunity through the Platform, the User grants the Company a specific and limited authorization to act on the User's behalf solely with respect to the property or ownership interest associated with that Property Opportunity.

This authorization permits the Company to perform the following activities exclusively:

• Manage the property or ownership interest forming part of the Property Opportunity. 
• Enter into, execute, renew, amend, terminate, assign, and document lease agreements before the competent governmental authorities and official electronic platforms. 
• Determine rental rates, collect rental income and other amounts due, and deposit such amounts into the designated account established for the relevant Property Opportunity. 
• Enter into contracts relating to the operation, maintenance, management, and associated services of the property, and pay the corresponding expenses from the revenues generated by the Property Opportunity. 
• Represent the User before governmental authorities, judicial bodies, and official electronic platforms solely in connection with the matters described in this section. 
• Carry out exit, liquidation, and distribution procedures in accordance with the applicable Property Opportunity Document. 

This authorization shall remain valid throughout the User's participation in the relevant Property Opportunity and shall automatically terminate upon the User's exit from that opportunity or upon its conclusion.

This authorization does not authorize the Company to sell, mortgage, gift, transfer ownership of, or otherwise dispose of the underlying property unless:

• the User provides separate and explicit consent; or 
• such disposition is carried out pursuant to the exit or liquidation mechanism expressly described in the applicable Property Opportunity Document. 

In exercising this authorization, the Company shall act in the User's best interests and in compliance with the applicable laws and regulations of the Kingdom of Saudi Arabia.

Subscription to Property Opportunities

The Company enables Users to subscribe to Property Opportunities offered through the Platform in accordance with the structure applicable to each individual opportunity.

Unless otherwise specified in the relevant Property Opportunity Document, the minimum subscription amount for Property Opportunities is generally SAR 1,000. This minimum amount may vary depending on the nature of the relevant opportunity.

Once a subscription has been successfully completed, it shall be final, irrevocable, and legally binding upon all parties.

The contractual relationships between the User and the relevant parties shall be governed by:

• the specific legal structure of the applicable Property Opportunity; and 
• the laws and regulations of the Kingdom of Saudi Arabia. 

The User's rights and obligations with respect to each investment shall be governed by the terms applicable to that particular Property Opportunity, all of which shall be clearly disclosed in the relevant Property Opportunity Document before the User subscribes to the investment.

Returns and Exit

Distribution of Returns

Periodic returns generated from each Property Opportunity shall be distributed to participating Users in accordance with the distribution mechanism specified in the applicable Property Opportunity Document.

The timing and percentage of return distributions shall be determined for each Property Opportunity and disclosed in its corresponding Property Opportunity Document.

The Company shall transfer distributed returns to the bank account registered by the User on the Platform.

Returns shall be subject to all applicable taxes, governmental charges, and regulatory fees imposed under the laws and regulations of the Kingdom of Saudi Arabia, including payment processing fees deducted by financial institutions and electronic payment service providers.

Exit

The investment period and exit mechanism applicable to each Property Opportunity shall be specified in the relevant Property Opportunity Document.

Exit mechanisms may differ depending on the legal structure and characteristics of each Property Opportunity and may include, without limitation:

• Sale of the property; 
• Liquidation of the investment; 
• Any other exit mechanism considered appropriate for the relevant investment structure. 

Exit proceeds shall be distributed among participating Users in accordance with the mechanism specified in the applicable Property Opportunity Document after deducting all applicable fees, costs, and expenses relating to the exit process.

Where deemed appropriate and in the interests of the investment, the Company may extend the duration of a Property Opportunity in accordance with the mechanism described in the applicable Property Opportunity Document.

If a User wishes to exit a Property Opportunity before the expiry of its investment period, such exit shall be governed exclusively by the terms and conditions set forth in the applicable Property Opportunity Document.

Investment Risks, Fees and Charges, Payment Methods, and Refunds

Investment Risks

The User acknowledges and understands that investment in real estate involves inherent risks, including the possibility of partial or total loss of the invested capital. The Company does not guarantee any fixed return, guaranteed profit, or appreciation in value.

The User is solely responsible for evaluating the suitability of any investment based on the User's financial circumstances, investment objectives, and risk tolerance.

The User acknowledges and agrees that no information, content, or materials made available through the Platform shall constitute investment advice, financial advice, legal advice, tax advice, or a recommendation to invest in any specific Property Opportunity, investment portfolio, transaction, or investment strategy.

The User further acknowledges that neither the Company, nor any of its service providers, affiliates, partners, employees, representatives, or any third party shall provide personalized advice regarding:

• the advisability of any investment; 
• the potential benefits of any purchase; 
• the expected profitability of any investment; 
• the value or suitability of any Property Opportunity; or 
• any other financial or investment-related matter. 

The User acknowledges that investments in the real estate sector involve various risks, including, without limitation:

• fluctuations in real estate market values; 
• liquidity risk and the inability to dispose of real estate assets quickly; 
• operational risks associated with the management and operation of properties; 
• financing and leverage risks where properties are subject to loans or financing arrangements; 
• legislative, regulatory, taxation, and compliance risks affecting the real estate sector; and 
• economic, political, and regulatory developments that may adversely affect the real estate market. 

Fees and Charges

The amount and percentage of each applicable fee shall be specified in the relevant Property Opportunity Document.

The Company may charge Users administrative fees, management fees, exit fees, commissions, or other service charges in consideration of providing services through the Platform.

Any such fees or commissions shall be clearly disclosed to the User before the User commits to the relevant transaction.

Financial institutions, banks, payment service providers, or other third parties may impose additional fees, commissions, currency conversion charges, transfer fees, or other charges relating to payment methods or transaction processing.

Such third-party charges are governed exclusively by the terms and policies of the relevant service providers and are outside the Company's control. The Company shall bear no responsibility or liability for such fees, and the User shall remain solely responsible for their payment.

Payment Methods

Users may pay subscription amounts and any applicable fees through:

• bank cards; 
• bank transfers; or 
• any other payment methods made available by the Platform from time to time. 

If a payment transaction fails for any reason, the Company reserves the right to cancel the corresponding subscription or purchase request.

Unless otherwise expressly stated, all payments shall be made in Saudi Riyals (SAR).

Refund Policy

The refund mechanism applicable to any payment shall depend on the nature and structure of the relevant Property Opportunity.

Refunds, where applicable, may not necessarily be returned through the same payment method originally used by the User.

Any specific refund conditions, restrictions, procedures, or exceptions relating to a particular investment opportunity shall be disclosed in the applicable Property Opportunity Document.

Indemnification

The User agrees to indemnify, defend, and hold harmless the Company, its subsidiaries, affiliates, shareholders, investors, directors, officers, employees, agents, representatives, legal advisers, successors, assigns, and heirs from and against any and all claims, actions, liabilities, damages, losses, costs, expenses, penalties, judgments, and legal fees arising directly or indirectly out of:

• the User's misuse of the Platform; 
• the User's breach of these Terms and Conditions; 
• the User's violation of any applicable law or regulation; or 
• any infringement of the rights of any third party resulting from the User's activities on the Platform. 

General Provisions

These Terms and Conditions constitute the entire agreement between the Company and the User with respect to the subject matter hereof and supersede all prior oral or written agreements, understandings, negotiations, and representations relating thereto.

If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable, such provision shall be severed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

The User may not assign, transfer, delegate, or otherwise dispose of any of the User's rights or obligations under these Terms and Conditions without the Company's prior written consent.

In the event of any inconsistency or conflict between the Arabic and English versions of these Terms and Conditions, the Arabic version shall prevail and shall govern the interpretation of these Terms and Conditions.

Misuse of the Platform may result in the initiation of civil, administrative, or criminal proceedings in accordance with the applicable laws and regulations.

The Company reserves the right to suspend, discontinue, deactivate, or terminate the Platform, in whole or in part, at any time and without prior notice.

Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws, regulations, and official instructions in force in the Kingdom of Saudi Arabia.

Any dispute, controversy, or claim arising out of or in connection with these Terms and Conditions, including any question regarding their interpretation, implementation, validity, or termination, shall first be resolved through good-faith amicable negotiations.

If the parties fail to resolve the dispute within thirty (30) days from the date on which one party notifies the other party in writing of the existence of the dispute, the dispute shall be submitted to the competent courts of Riyadh, Kingdom of Saudi Arabia, which shall have exclusive jurisdiction to settle the dispute in accordance with the applicable laws and regulations of the Kingdom of Saudi Arabia.
